The Limited Liability Company (shpk) is the most widespread form of commercial company in the Republic of Albania. The main acts required for its incorporation are the Articles of Incorporation and the Statute. The essential elements that these acts must contain include:
› Name;
› Legal form;
› Date of incorporation;
› Identification details of the founders;
› Registered office;
› Object, if defined;
› Duration;
› Decision-making bodies;
› Identification details of the persons responsible for administration and representation, their representative powers, and the terms of their appointment;
› Initial share capital (value and type of contribution);
› Shareholders and their quotas;
› Dissolution/liquidation of the company.
Together with the Statute and the Articles of Incorporation, the acts of appointment of the company’s governing bodies (if not included in the founding acts) must also be filed, along with the application for initial registration. The registration procedure of an LLC is carried out through e- Albania at the National Business Center (NBC), and once approved, the entity is issued a NIPT number, thereby acquiring the obligation to register with the tax authorities, the social and health insurance schemes, the labor inspectorate, and the customs authorities (depending on the business activity), as well as in the register of beneficial owners.
It must be noted that after initial registration, throughout their commercial activity, entities are required to register with the NBC any amendments or acts that are mandatory under Albanian legislation, such as: amendments to the articles of incorporation or statute; filing of annual financial statements, activity reports, and audit reports; appointment of liquidators; changes of business addresses, etc. These amendments must be declared and registered within 30 calendar days from the date of the factual circumstance or the drafting of the mandatory act to be registered.
The declaration of false data in the register, failure to perform the initial registration, or failure to carry out other mandatory registrations within the legal deadlines is considered an administrative violation and is punishable by fine. If the entity has not carried out the required previous registrations or has not paid the imposed fines, the NBC will refuse to perform further registrations.
Accompanying documentation:
· Statute and Articles of Incorporation, if prepared as two separate documents;
· Acts of appointment of the company’s governing bodies, if not included in the above acts;
· Identification document of the legal representative, shareholders, or authorized person to perform the registration (if the application is not made by the company’s legal representative);
· Notarial power of attorney if the applicant is not the legal representative of the company.
